wholesale transactions and you use of this website constitutes full acceptance of all
terms set forth herein.
1.2. By accessing or using any part of this website you acknowledge that you
have the legal capacity and authority to enter into binding agreements and that
you agree to comply fully with all policies, conditions, disclaimers and legal
notices displayed or referenced on this platform.
1.3. Philo lifestyle reserves the unrestricted right to amend, modify or replace any
section of these terms at any time and your continued use of the website following
any changes constitutes your explicit acceptance of the revised Terms.
1.4. You agree access without prior notice if any activity is deemed fraudulent,
harmful, abusive, unlawful or inconsistent with these Terms.

2. ELIGIBILITY & ACCOUNT RESPONSIBILITY

2.1. You confirm that you are at least eighteen years of age and legally capable
of entering into binding contractual agreements when placing orders on this
website.
2.2. You agree to provide accurate, complete and current personal, billing and
shipping information and you acknowledge that Philo Lifestyle is not responsible
for delays or losses caused by incorrect or incomplete information supplied by
you.
2.3. You accept full responsibility for maintaining the confidentiality of your
account credentials and you agree to notify Philo Lifestyle immediately of any
unauthorized access or suspected security breach involving your account.

3.PRODUCTT INFORMATION & REPRESENTATION

3.1.Philo Lifestyle makes reasonable efforts to present product descriptions, colors,
dimensions, textures and materials as accurately as possible, however, you
acknowledge that variations may occur dur to digital display settings, photographic
conditions and standard manufacturing tolerances.
3.2. You understand that minor color differences, measurements tolerances and fabric
texture variations are inherent to textile production and do not constitute defects.
3.3. You acknowledge that all products offered on the website are subject to
availability and Philo Lifestyle may modify, discontinue or limit quantities of any
products at any time without prior notice. 

4.PRICING, PAYMENT 7 BILLING

4.1. All prices listed on the Philo Lifestyle are displayed in Canadian Dollars unless
explicitly noted otherwise and these prices may change at any time to reflect
fluctuations in material costs, import duties, operational expenses or currency
variations.
4.2. You acknowledge that placing an order authorizes Philo Lifestyle to charge your
selected payment method for the full order amount, including applicable taxes, duties
and shipping fees.
4.3. You agree that Philo Lifestyle uses secure third-party payment processors and that
your payment information is handled exclusively by these processors in accordance
with industry-standard security protocols.
4.4. You understand that all custom orders require a mandatory non-refundable
deposit equal to fifty percent of the total order value prior to commencement of
production, with the remaining balance payable before dispatch.
4.5. Wholesale orders require a minimum fifty percent advance payment upon
confirmation, with the remaining balance due to shipment or delivery, delayed
payment may incur monthly interest charges at a rate of two percent.

4.6. You acknowledge that Philo Lifestyle reserves the right to cancel or decline any
order that cannot be authorized, verified or deemed legitimate by tis fraud
prevention protocols.

5.ORDEER PROCESSING & CONFIRMATION

5.1. You understand that an order confirmation email constitutes acknowledgement
of your order but does not guarantee acceptance, as Philo Lifestyle reserves the right
to approve or reject any order at its discretion.
5.2. You acknowledge that standard retail orders require approximately two to four
business days for processing, while custom-made orders require an extended
processing period of thirty to forty five business days depending on complexity and
material availability. 
5.3. You agree that Philo Lifestyle is not liable for delays caused by incorrect
information submitted by you or by  unforeseen operational or logistical issues
beyond its control.

6.SHIPPING & DELIVERY

6.1. You acknowledge that shipping fees are calculated based on weight,
dimensions and destination and that these fees must be paid in full before dispatch.
6.2. You accept that estimated delivery times-three to nine days within Canada , five
to twelve business days within the United states and twenty one business days
internationally- are approximations and not guaranteed delivery dates.
6.3. You agree that international shipments may be subject to custom duties, import
taxes and brokerage fees, which are your sole responsibility  and are not included
in the purchase price. 
6.4. You understand that refusal to pay international customs charges may result in
package return and all associated costs will be deducted from any refund owed to
you. 
6.5. You acknowledge that Philo Lifestyle is not responsible for carrier delays,
weather disruptions, customs inspections or other situations beyond its control.
6.6. You agree to report any damaged, missing or tempered shipments within
forty eight hours of delivery and to provide photographic evidence for claim
verification.

7.RETIAL RETURNS & EXCAHNGES

7.1. You acknowledge that returns for retail purchases are accepted within
fourteen days of delivery only if the product is unused, unwashed and returned
with all original labeling and packaging intact.
7.2. You understand that custom size curtains, custom made items, personalized
products, opened bedding, clearance items and final sale items are not eligible
for return under any circumstances.
7.3. You agree that return shipping is your responsibility unless the item received
was defective or incorrect.
7.4. You acknowledge that refunds are issued only after our team inspects the
returned product and confirms compliance with return conditions.
7.5. You understand that exchanges may be offered for alternative sizes or color,
provided the requested item is available and the original item meets return
eligibility criteria.

8.WHOLESALE RETURNS & CLAIMS

8.1. You acknowledge that wholesale orders are not returnable except in cases of
verified manufacturing defects, incorrect items, shortages or transit damage.
8.2. You agree to submit evidence of defects within seven days of receiving the
shipment and you acknowledge that failure to do so constitutes acceptance of the
goods in full.
8.3. You understand that wholesale products altered, cut, washed, installed,
resold or modified in any manner are strictly non-returnable.
8.4. You agree that Philo Lifestyle will determine whether a replacement, credit or
refund is the most appropriate remedy for validated wholesale claims.

9.ORDER CANCELLATION 

9.1. You acknowledge that retail orders may only cancelled within twelve hours
of purchase and only if processing has not begun. 
9.2. You understand that custom orders cannot be cancelled once materials have
been procured or production activities have started and any deposits paid may
be forfeited to cover incurred costs.

10.WARRANTY & PRODUCT QUALITY

10.1. You acknowledge that Philo Lifestyle inspects all products prior to shipment
but that natural variations in color, fiber, weave or measurements do not constitute
defects.
10.2. You understand that that warranty covers only manufacturing defects and
does not include damages resulting from incorrect washing, bleaching, harsh
detergents, sun exposure, accidents or normal wear and tear.
10.3. You agree to provide photographic evidence of any suspected defect
before a warranty claim can be evaluated.

11.CUSTOM ORDER TERMS 

11.1. You acknowledge that custom orders are produced strictly according to the
measurements and specifications provided by you and Philo Lifestyle bears no
responsibility for errors arising from incorrect information supplied by the
customer. 
11.2. You understand that custom orders are final sale and cannot be returned,
exchanged or refunded, except in cases of verified manufacturing defects.
11.3. You accept that custom orders require a production period of thirty to forty
five business days, subject to material availability.

12.WHOLESALE PARTNERSHIP TERMS

12.1. You acknowledge that access to wholesale pricing requires verification of
business credentials and acceptance of all wholesale policies outlined by Philo
Lifestyle.
12.2. You agree that minimum order quantities, production timelines and pricing
structures are determined by Philo Lifestyle and may vary based on product
category, customization and volume.
12.3. You understand that private-label packaging, branding services and
barcoding options may incur additional fees and require approval before
production.

13.INTELLECTUAL PROPERY RIGHTS

13.1. You may acknowledge that all products designs, images, graphics, branding
materials, website text, mockups, packaging designs and digital displayed by Philo
Lifestyle are the exclusive intellectual property of the company.
13.2. You agree not to copy, reproduce, distribute, modify, reverse engineer,
commercialize or otherwise exploit any intellectual property belonging to Philo
Lifestyle without prior written consent. 
13.3. you understand that unauthorized use of intellectual property may result in
legal action and financial liability.

14.PRIVACY & DATA PROTECTION

14.1. You acknowledge that Philo Lifestyle collects personal information solely for
the purposes of order processing, account management, customer
communications, fraud prevention  and website optimization.
14.2. You understand that your data may be shared with trusted third-party service
providers such as payment processors, logistics partners and analytics platforms
for operational purposes.
14.3. You acknowledge that Philo Lifestyle does not sell, rent or distribute personal
data to unauthorized with applicable privacy laws.
14.4. You agree that your uses of the website signifies consent to data collection
practices in accordance with applicable privacy laws.

15. LIMITATION OF LIABILITY

15.1. You acknowledge that Philo Lifestyle shall not be held liable for indirect,
incidental, consequential, punitive or exemplary damages arising from website
use, product purchases, shipping delays or external circumstances beyond its
control.
15.2. You acknowledge that the total liability of Philo Lifestyle, under any
circumstances, shall not exceed the actual purchase price of the item giving rise to
the claim.

16.GOVERING LAW & DISPUTE RESOLUTION 

16.1. You acknowledge that all terms, conditions and transactions with Philo
Lifestyle shell be governed exclusively by the laws of the province of Ontario,
Canada.
16.2 You agree that disputes shall first be addressed through direct negotiation,
followed by mediation and finally binding arbitration if necessary.
16.3. You understand that by using this website, you waive the right to participate
in class action lawsuits or collective legal claims against Philo Lifestyle.
